• "Client" refers to any individual or entity using our software development or SaaS services.
• "Services" refer to the software development, SaaS, and other IT-related solutions provided by Iconic Infotech.
• "Software" refers to any software, application, or system developed or provided by Iconic Infotech.
• "Subscription" refers to the Client’s access to our SaaS offerings.

2. Services Provided

2.1 Software Development Services

Iconic Infotech offers custom software development, mobile and web applications, IT consulting, and related services. The scope, timeline, and cost of these services will be agreed upon in a separate contract or service agreement.

2.2 Software as a Service (SaaS)

We provide cloud-based SaaS solutions, available on a subscription basis. Access is granted as per the selected plan and subject to payment compliance.

3. Client Obligations

• Provide accurate and necessary information required for project execution.
• Ensure compliance with all applicable laws and regulations.
• Maintain confidentiality of any login credentials or sensitive information.

4. Payments & Subscription

4.1 Payment Terms

• Payments for software development projects must be made as per the agreed schedule.
• Subscription fees for SaaS services must be paid in advance as per the selected plan.

4.2 Refund Policy

• Payments for completed software development work are non-refundable.
• SaaS subscriptions may be canceled, but no refunds will be provided for the remaining period unless otherwise stated.

5. Intellectual Property Rights

5.1 Software Development

Upon full payment, the ownership of custom-developed software will be transferred to the Client unless otherwise agreed. Iconic Infotech retains the right to use its pre-existing code, libraries, and frameworks.

5.2 SaaS Products

All SaaS products remain the exclusive property of Iconic Infotech. Clients receive a non-exclusive, non-transferable license to use the software as per the terms of their subscription.

6. Confidentiality & Data Protection

Both parties agree to keep confidential any proprietary or sensitive information. Iconic Infotech implements security measures to protect client data but is not responsible for any data breaches caused by third-party services or force majeure events.

7. Termination

• Iconic Infotech reserves the right to terminate services if a Client violates these Terms.
• Clients may terminate their SaaS subscriptions but must comply with the cancellation terms.

8. Limitation of Liability

Iconic Infotech is not liable for indirect, incidental, or consequential damages arising from the use of our services. Liability is limited to the amount paid by the Client for the specific service.

9. Indemnification

Clients agree to indemnify and hold Iconic Infotech harmless from any claims, damages, or legal fees arising from misuse of the services.

10. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of Ghaziabad, Uttar Pradesh. Any disputes shall be resolved in the courts of Ghaziabad, Uttar Pradesh.

11. Changes to Terms

Iconic Infotech reserves the right to update these Terms at any time. Clients will be notified of any significant changes.
